As a regulated UK introductory agency, we introduce clients to self-employed support workers — we do not employ those workers or manage the care relationship directly. Spring Point Ltd ("Spring Point", "we", "our", "us") is a regulated introductory agency registered in England and Wales, operating under Company Number 00000000. Our registered office is located at 114 Blackheath Road, London SE10 8DA, United Kingdom.
Spring Point operates as an introductory agency within the meaning applicable under UK law. We introduce clients ("Clients") seeking non-medical support in the home and community to self-employed support workers ("Support Workers") who provide such services independently.
Our mission is: "To enhance quality of life by providing reliable, dignified and personalised support that fosters independence and community connection."
These Terms of Service ("Terms") govern your access to and use of our services, website at springpoints.co.uk, and any related communications with Spring Point. By accessing our website, submitting an enquiry, booking an assessment or engaging our introductory services, you agree to be bound by these Terms.

The following definitions apply throughout these Terms:

Nature of Our Service
Spring Point provides the following core services to Clients and Support Workers:
Our services are focused on non-medical support and do not include, and must not be used for, the provision of regulated healthcare, personal care (as defined under relevant care legislation), or any service that requires clinical registration or healthcare professional status.
The Introductory Agency Model
It is essential that all Clients understand the distinction between Spring Point and a managed care agency. The following explains the implications of our introductory model:
Following a successful introduction, the Client enters into a direct arrangement with the Support Worker. The Support Worker is self-employed and provides their services to the Client directly. Spring Point is not a party to this arrangement and has no responsibility for the day-to-day conduct or delivery of care services.
Because the Client engages the Support Worker directly, the Client takes on certain responsibilities, including but not limited to: agreeing the scope of work, hours and remuneration; ensuring compliance with applicable employment and tax obligations; providing a safe working environment; and managing any concerns about the Support Worker's conduct directly or with Spring Point' guidance.
After a successful introduction and the commencement of a Care Arrangement, Spring Point' ongoing role is limited to: providing advisory support; handling any re-matching needs; maintaining the Support Worker's registration and vetting status; and offering guidance on issues that arise. Spring Point does not supervise or manage the Care Arrangement itself.
Registration & Assessment
To access Spring Point' introductory services, Clients must complete an initial assessment. This involves providing accurate personal information, describing care needs and requirements, and consenting to Spring Point retaining and processing their data in accordance with our Privacy Policy.
Clients must ensure all information provided to Spring Point is accurate, complete and up to date. Spring Point reserves the right to decline or terminate a registration where information is found to be inaccurate or misleading.
Support Workers seeking registration with Spring Point must: submit to and satisfactorily complete an Enhanced Disclosure and Barring Service (DBS) check; provide two or more verifiable references; and participate in a registration interview with Spring Point' team.
Registration is at Spring Point' absolute discretion. Spring Point may refuse registration or remove a Support Worker from its register at any time where it considers this appropriate to protect Clients or uphold its standards.
The initial Client assessment is provided at no cost and with no obligation. The assessment does not constitute a commitment by either party to proceed with any introduction or care arrangement.

Fees & Payment
The initial Client assessment is provided at no charge. There is no obligation to proceed with any introduction following an assessment.
Upon accepting an introduction to a Support Worker, a one-off Introductory Fee becomes payable. This fee covers Spring Point' matching, vetting verification and administrative costs. The specific amount will be confirmed to the Client prior to any introduction proceeding. No Introductory Fee is payable unless and until a Client accepts a formal introduction.
An ongoing Management Fee may be charged for continued access to Spring Point' advisory support, re-matching services and network administration. This fee will be clearly communicated at registration and is payable in accordance with the agreed billing schedule.
Clients pay Support Workers directly at an agreed hourly or sessional rate. Spring Point does not process, hold or manage any payments between Clients and Support Workers. The rate is agreed between the Client and Support Worker directly, with Spring Point' guidance if required.
Spring Point' fees are due as specified in the relevant invoice or agreement. Late payment may result in suspension of introductory services. Spring Point reserves the right to charge interest on overdue amounts at the statutory rate applicable under the Late Payment of Commercial Debts (Interest) Act 1998 where applicable.
Vetting & Safeguarding
Spring Point requires all registered Support Workers to hold a current Enhanced Disclosure and Barring Service (DBS) certificate applicable to work with adults in a care or support context. Spring Point verifies this certificate prior to any introduction being made. DBS checks are renewed as required.
Spring Point contacts and verifies professional and personal references for all registered Support Workers. References are assessed for relevance, authenticity and content. Any concerns arising from references will result in a Support Worker's registration being declined or suspended.
Whilst Spring Point takes all reasonable steps to vet Support Workers, we cannot guarantee that information provided by Support Workers is complete and accurate in all respects. DBS disclosures reflect information held at the time of the check and may not capture all relevant history. Clients are encouraged to exercise their own reasonable judgement following any introduction.
Spring Point takes safeguarding seriously. Any concerns relating to the welfare of a vulnerable adult should be reported to Spring Point immediately at info@springpoints.co.uk or by calling +44 788 273 2203. Where appropriate, Spring Point will refer concerns to the relevant local authority or statutory body.
Limitation of Liability
To the fullest extent permitted by applicable law, Spring Point shall not be liable for any loss, damage, injury, claim or expense arising directly or indirectly from: the conduct or performance of any Support Worker following an introduction; any act or omission of a Client; or any failure of a Care Arrangement.
As an introductory agency, Spring Point' legal responsibility is limited to the exercise of reasonable care and skill in the assessment, vetting and introduction process. We are not responsible for, and do not accept liability for, the acts or omissions of Support Workers in the provision of care or support services to Clients.
Nothing in these Terms shall limit or exclude Spring Point' liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other matter for which it would be unlawful to limit liability.
Subject to clause 10.3, Spring Point shall not be liable to any party for any indirect, consequential, special or punitive loss or damage, including loss of profit, loss of business or loss of goodwill, arising in connection with these Terms.
Subject to clause 10.3, Spring Point' maximum aggregate liability to a Client or Support Worker in any twelve-month period shall not exceed the total fees paid by that party to Spring Point in the same period.
Intellectual Property
All content on the Spring Point website — including but not limited to text, design, graphics, logos, data and software — is the property of Spring Point Ltd or its licensors and is protected by applicable intellectual property law.
You may not reproduce, copy, publish, distribute or create derivative works from any content on our website without our prior written consent. You may print or download content for your personal, non-commercial use only.
The Spring Point name, logo, brand identity and associated marks are proprietary to Spring Point Ltd. Nothing in these Terms grants any licence or right to use these marks without our express written permission.
Data Protection
Spring Point processes personal data in accordance with UK data protection law, including the UK GDPR and the Data Protection Act 2018. Spring Point is registered with the Information Commissioner's Office (ICO) under registration number ZA000000.
Full details of how we collect, use, store and share personal data — and the rights of data subjects — are set out in our Privacy Policy, which forms part of these Terms and should be read alongside them.
By engaging Spring Point' services, you acknowledge and consent to the processing of your personal data as described in the Privacy Policy, to the extent necessary for Spring Point to perform its introductory services.
Termination
A Client may terminate their registration with Spring Point at any time by providing written notice to info@springpoints.co.uk. Any Care Arrangement between the Client and a Support Worker is a matter between those parties directly and is not automatically terminated by withdrawal from Spring Point' register.
Spring Point may suspend or terminate a Client's or Support Worker's registration at any time, with or without notice, where Spring Point reasonably believes: the individual has breached these Terms; behaviour poses a risk to another party; information provided was false or misleading; or continued registration is otherwise not appropriate.
Upon termination, the individual's access to Spring Point' advisory and re-matching services will cease. Any fees paid are non-refundable except where Spring Point has failed to deliver a service it was obligated to provide. Outstanding fees remain due and payable.
Spring Point does not impose exit penalties or minimum term commitments on Clients. Clients may pause or reduce their Care Arrangement at any time directly with their Support Worker without incurring charges from Spring Point, subject to any Management Fee obligations for the current billing period.
Complaints & Disputes
Spring Point takes all complaints seriously. If you have a complaint about our services, please contact us in the first instance:
Spring Point will acknowledge complaints within two working days and aim to provide a full response within ten working days. Where investigation is required, we will provide updates on our progress.
Where a complaint cannot be resolved through our internal process, the parties may consider alternative dispute resolution (ADR). Spring Point will engage in good faith with any reasonable ADR process proposed.
Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
The parties agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
Nothing in this clause shall limit any consumer rights you may have under applicable UK law that cannot be excluded or modified by agreement.
Changes to These Terms
Spring Point reserves the right to amend these Terms at any time. We will notify registered Clients and Support Workers of material changes by email and by publishing the updated Terms on our website with a revised effective date.
Your continued use of Spring Point' services after the notified effective date of any update constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must cease using our services and notify us accordingly.
